NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("Agreement") is made and entered into on (the "Effective Date") between Thompson Hennessey & Partners ("Disclosing Party") and ("Recipient").

Purpose: The Disclosing Party intends to provide confidential information regarding commercial real estate property know as 11 Chestnut Street, Amesbury MA which consists of three contiguous parcels: 3 Morrill Street with 0.23 acres of land (parking lot), 5 Chestnut Street with 0.35 acres of land (parking lot), and 2 Oakland Street with 1.12 acres of land (the totaling 1.7 acres, and containing a three story, 50,000 SF building (The Property”) In addition, The Property is currently occupied in its entirety by an existing business dba CI Works, www.ciworks.com (“The Business” or collectively “The Assets”) for the purpose of evaluating the potential sale of either or both.
Confidential Information: The term "Confidential Information" means any information disclosed by the Disclosing Party to the Recipient, including but not limited to financial statements, property data, company and tenant information, appraisal reports, environmental or structural assessments, or any other information obtained during the course of the negotiation or evaluation of the properties. Further, Confidential Information shall also include any information relating to any/all businesses that may own or occupy the properties. Information that is readily available in the public realm shall not be considered Confidential. Recipient also acknowledges that CI Works uses proprietary business practices that shall remain the exclusive property of CI Works. Recipient shall not copy or use said proprietary practices to establish a competitive business in its own real estate or real estate it shall acquire without prior written consent of the Principal of CI Works.
Non-Disclosure: The Recipient agrees that it will not disclose any Confidential Information received from the Disclosing Party to any third party, including but not limited to investors, lenders, or other real estate brokers without the prior written consent of the Disclosing Party. Recipient also agrees not to circumvent Disclosing Party by contacting directly the ownership of The Assets, local and municipal officials, commercial real estate brokers, nor any tenant that may occupy the property without prior consent of Disclosing Party. Recipient also agrees not to interfere with Disclosing Party’s efforts to market for sale or lease the properties to other third parties. Recipient also acknowledges that there are companies actively operating in all or a portion of The Properties, and Recipient agrees not Aug 1, 2024FocusedcRE to interfere or harm in any way said companies in its evaluation and any subsequent negotiations to acquire The Properties.
Limitations on Use: The Recipient agrees to use the Confidential Information solely for the purpose of evaluating the property and potential sale. It may not be used for any other purpose without the prior written consent of the Disclosing Party.
Protection of Confidential Information: The Recipient agrees to protect the Confidential Information by using the same degree of care as it would use to protect its own confidential information.
Return of Confidential Information: Upon request by the Disclosing Party, the Recipient agrees to return any and all Confidential Information, including all copies thereof, to the Disclosing Party.
Term: This Agreement shall remain in effect for a period of one (1) year from the Effective Date.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the property is located.
Remedies: The Recipient acknowledges that any use or disclosure of the Confidential Information in violation of this Agreement would cause irreparable harm to the Disclosing Party, and that the Disclosing Party shall be entitled to seek injunctive relief, as well as any other legal remedies available.
Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, discussions, and agreements between them relating to the subject matter of this Agreement.
Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
